BluBanyan Media Co is a digital marketing agency operating as a division of Snow Giant Group Inc., incorporated in Ontario, Canada. We provide social media management, paid advertising, SEO, content marketing, photography, videography, web design, and branding services to businesses across Canada.

2. Website Use

You agree to use this website only for lawful purposes. You must not attempt to gain unauthorized access to any part of our systems, use our website to transmit harmful or fraudulent content, reproduce any content without written permission, or use our website for any commercial purpose without our consent.

We reserve the right to restrict or terminate access to our website at our sole discretion.

3. Services and Proposals

All services provided by BluBanyan are subject to a separate written service agreement signed by both parties. Nothing on this website constitutes a binding contract or commitment to provide services. Pricing displayed on this website is indicative starting-from pricing only. Final pricing is determined in a written proposal following a discovery consultation.

In the absence of a signed service agreement, no services are deemed to be engaged.

4. Intellectual Property

All content on this website including text, graphics, logos, images, videos, and design elements is the property of BluBanyan Media Co or its content suppliers and is protected by Canadian copyright law.

Upon full payment of all applicable fees under a service agreement, BluBanyan assigns to the Client ownership of the final deliverables specifically created for that Client, except for pre-existing BluBanyan tools and templates, third-party licensed assets, and any work product for which payment has not been received in full.

5. Results Disclaimer

Digital marketing results vary based on market conditions, platform algorithms, budget, industry competitiveness, and other factors outside our control. Any statistics or results referenced on this website represent past performance and are not guarantees of future results.

BluBanyan does not guarantee specific outcomes including specific lead numbers, search engine rankings, return on ad spend, or follower growth targets. We commit to applying professional skill, care, and best-practice methodology to every engagement.

6. Limitation of Liability

To the fullest extent permitted by applicable law, BluBanyan Media Co and Snow Giant Group Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of revenue, profits, or business opportunities; loss of data or content; damage to reputation; or any third-party platform changes that affect campaign performance.

Our total aggregate liability to any Client for any claim shall not exceed the total fees paid by that Client in the three months preceding the claim.

7. Third-Party Platforms

Our services often involve managing accounts on third-party platforms including Google, Meta, Instagram, TikTok, and LinkedIn. These platforms are subject to their own terms and policies which may change without notice. BluBanyan is not responsible for changes to platform policies or algorithms, account suspensions, or any disruption to campaigns caused by platform-side changes.

Clients are responsible for ensuring their business and content complies with all applicable platform policies.

8. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed in writing: invoices are due within 14 days of issue; late payments may attract interest at 2% per month; BluBanyan reserves the right to pause services for accounts overdue by more than 30 days; all fees are in Canadian dollars; and fees are exclusive of applicable taxes including HST.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a service engagement, including business strategies, client data, campaign performance data, pricing structures, and operational processes. This obligation survives termination of any service agreement.

10. Governing Law

These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, the parties may pursue mediation before initiating legal proceedings.

12. Indemnification

You agree to indemnify and hold harmless BluBanyan Media Co, Snow Giant Group Inc., and their respective officers, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your violation of any applicable law, content or materials you provide to BluBanyan, or your use of our website in violation of these Terms.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services following changes constitutes acceptance of the revised Terms.
